Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Firststreet, Inc. ("Firststreet," "we," "us," or "our") governing your access to and use of our website (firststreet.ai), platform, and related services (collectively, the "Services").

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, you may not use our Services.

Description of Services

Firststreet provides an AI-powered lease governance platform designed to help commercial real estate owners and operators monitor lease obligations, detect discrepancies between lease terms and operational execution, and surface findings across their portfolios. The platform may include lease document ingestion, structured financial logic, execution monitoring, discrepancy detection, and evidence-based reporting features.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

Eligibility and Accounts

To use certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share access with unauthorized parties
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Upload or transmit any data or content that infringes on the intellectual property rights of any third party
• Attempt to gain unauthorized access to any portion of our platform or related systems
• Introduce any viruses, malware, or other harmful code
• Use automated tools to scrape, crawl, or extract data from our platform without written permission
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any component of our platform
• Resell, sublicense, or otherwise commercialize access to the Services without our written consent

Your Data and Content

You retain ownership of all lease documents, financial records, and other data you upload or connect to the platform ("Customer Data"). By using our Services, you grant Firststreet a limited, non-exclusive license to process your Customer Data solely to provide the Services.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process your Customer Data through our platform, and that doing so does not violate any third-party rights or applicable laws.

We will handle your Customer Data in accordance with our Privacy Policy and any applicable data processing agreements.

Intellectual Property

All content, features, functionality, software, and technology comprising the Firststreet platform — including but not limited to text, graphics, logos, icons, images, AI models, and source code — are owned by Firststreet or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms transfers any ownership rights to you. You may not copy, modify, distribute, sell, or create derivative works from our platform or content without our express written consent.

Fees and Payment

Access to certain features of the Services may be subject to subscription fees as described in a separate order form or subscription agreement between you and Firststreet. All fees are non-refundable except as expressly stated in that agreement or as required by applicable law.

We reserve the right to modify our pricing with reasonable advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Firststreet does not warrant that the Services will be uninterrupted, error-free, or that any findings, outputs, or analyses generated by the platform are complete, accurate, or suitable for any particular business or legal decision. All outputs should be reviewed by qualified professionals before acting on them.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSTSTREET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF FIRSTSTREET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FIRSTSTREET'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FIRSTSTREET IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Firststreet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any third-party rights.

Termination

Either party may terminate these Terms at any time with written notice. We may suspend or terminate your access to the Services immediately, without prior notice, if we determine that you have violated these Terms or that continued access poses a risk to the platform or other users.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and indemnification — will survive.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by JAMS under its Commercial Arbitration Rules, with proceedings conducted in New York, New York.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending an email to the address associated with your account. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
